Terms of Service

These terms are an agreement between you and the independent developer who operates MindMax ("we", "us"). They cover the MindMax desktop app, the optional MindMax account and subscription, and this website. By downloading the app, creating an account or paying for a plan, you agree to them. If you do not agree, do not use MindMax.

How we handle your data is described in the Privacy Policy, which forms part of these terms.

1. The app​

MindMax is free to download and use. Reading, writing, search and working in your own folder cost nothing. You pay only for AI work — through a MindMax subscription or credits, or by bringing your own API key and paying that provider directly.

We grant you a personal, non-exclusive, non-transferable licence to install and use MindMax on devices you own or control. You may not resell or redistribute the app, remove its notices, or reverse-engineer it except where the law expressly allows it.

MindMax is under active development. Features may change, be added or be removed between releases, and the app may download updates automatically.

2. Your files and your content​

Your files remain yours. Nothing in these terms gives us any right to the documents you open or the content you produce with MindMax, including AI output. To the extent we hold rights in output generated for you, we assign them to you.

MindMax works on files on your disk and writes ordinary files back into your folder. It keeps a version history of the changes it makes, but that is not a backup. Keep your own backups of work that matters. You are responsible for having the right to use the material you open in MindMax and send to AI models.

3. AI output​

AI models make mistakes. MindMax attaches quotes and links back to sources so you can check its work, but output can still be incomplete, out of date or wrong, and a quote being genuine does not make the conclusion drawn from it correct. Check anything important before you rely on it, and do not treat output as professional advice (legal, medical, financial or otherwise).

Edits MindMax proposes to your documents wait for your review. Accepting them is your decision.

4. Your own API keys and models​

If you use your own API key, your requests go directly to that provider under your agreement with it, and you pay its charges. We are not responsible for the provider's service, pricing or handling of your data. Keep your keys secret; MindMax stores them encrypted on your device.

5. Accounts​

You need an account only to use the subscription or buy credits. You must be at least 13 years old (or the minimum age in your country, if higher), give a valid email address, and keep access to it secure. You are responsible for activity on your account. Each plan allows a set number of signed-in devices; an account is for one person and may not be shared.

6. Subscriptions and credits​

Current prices, credit allowances and plan limits are on the pricing page.

• Credits. AI work on the subscription path is measured in credits, according to the model used and the amount of work. Credits have no cash value, cannot be transferred or sold, and can only be used in MindMax.
• Weekly allowance. Each plan, including the free plan, grants credits every week. Unused weekly credits carry over up to a cap set by your plan. There are also limits on how much can be used within a rolling five-hour window and how many tasks can run at once.
• Running out. When your credits or a usage limit run out, AI work on the subscription path pauses until the allowance refills, until you buy credits, or until you upgrade. We never charge you automatically for going over.
• Credit packs. Purchased credits are spent after your weekly allowance, and do not expire while your account is open.
• Model substitution. If a model is unavailable, a request may be served by another model of comparable capability, and is charged for the model actually used.
• Billing. Subscriptions renew automatically, monthly or yearly, until you cancel. Payments are processed by Stripe. Prices exclude taxes unless stated; applicable taxes are added at checkout.
• Changing plans. An upgrade takes effect immediately and you are charged the prorated difference for the rest of the billing period. A downgrade takes effect at the end of the current period.
• Cancelling. You can cancel at any time from the billing page. Your plan stays active until the end of the period you have paid for and then moves to the free plan. Purchased credit packs remain usable.
• No refunds. Payments for subscriptions and credit packs are non-refundable, including for partly used periods and unused credits, except where the law of your country requires otherwise. If you believe you were charged in error, email support@mindmax.me and we will look into it.
• Price changes. We may change prices or allowances. For an existing subscription, a price increase applies from your next renewal after we have given you at least 30 days' notice, so you can cancel first.
• Supporter payments. A Supporter payment is a one-time, non-refundable payment to support MindMax's development. It unlocks no features or credits.

7. Acceptable use​

You may not use MindMax or the subscription service to:

• break the law, or infringe other people's rights;
• generate content that the upstream model providers' usage policies prohibit;
• get around plan limits, credit metering or device limits — for example by sharing an account, automating sign-ups, or calling our gateway from software other than MindMax;
• resell or redistribute access to the subscription service or its models;
• use AI output to develop models that compete with the upstream providers;
• attack, overload or probe our servers, or interfere with other users.

We may suspend or close an account that breaks these rules. Where we close an account for reasons other than a breach of these terms, we will refund the unused part of any prepaid period.

8. Third-party services​

The subscription path relies on third-party model and search providers, and payments rely on Stripe. Which upstream providers we use may change. Their availability is outside our control, and we are not responsible for interruptions on their side.

9. Availability​

We aim to keep the subscription service running, but we do not guarantee that it will be uninterrupted or error-free. We may change or discontinue the service. If we discontinue a paid service entirely, we will give reasonable notice and refund the unused part of any prepaid subscription period. The app and your files keep working without the subscription; you can switch to your own API key or a local model at any time.

10. Disclaimer and limitation of liability​

MindMax is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or business, arising from your use of MindMax. Our total liability for any claim relating to MindMax is limited to the greater of the amount you paid us in the 12 months before the claim arose, or USD 50.

Nothing in these terms limits liability that cannot be limited by law, or takes away rights you have as a consumer under the law of your country.

11. Ending these terms​

You can stop using MindMax at any time, and delete your account by emailing support@mindmax.me. We may end these terms or suspend access if you breach them. Sections 2, 3, 6 (as to payments already made), 10 and 12 continue to apply after termination.

12. General​

We may update these terms. We will post the new version here with a new date, and for material changes we will notify account holders by email or in the app before they take effect. If you keep using MindMax after that, the new terms apply.

If any part of these terms is found unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it. You may not transfer these terms; we may transfer them in connection with a transfer of the MindMax business.
